Unicorn Intelligence: Terms of Service
Version date: 29 October 2026
These Terms of Service (the "Terms") govern the use of Unicorn Intelligence (the "Service"), provided by Unicorn Private LLC, a Delaware limited liability company, 16192 Coastal Highway, Lewes, Delaware 19958, United States of America ("Unicorn Private", "we"). The company that creates an account and subscribes to the Service is the "Customer". The Terms are accepted online when the Customer starts a trial, subscribes or pays. We do not sign individual contracts: these Terms, the Data Processing Agreement and the Privacy Notice published on intel.unicornprivate.com form the entire agreement.
1. The Service
1.1 The Service is an information platform for businesses with five modules: sanctions and counterparty screening ("Screening"), dossiers on companies ("Dossier"), competitor and startup intelligence ("Sector"), regulatory monitoring ("Regulation") and public tender monitoring ("Tenders").
1.2 The Service collects information from official and open sources, such as sanctions lists published by public authorities, open business registers, official journals, public procurement portals, news databases and Unicorn Watch, and presents it with its source and date. Summaries and translations are produced automatically with artificial intelligence models.
1.3 The Service is available through the website, the dashboard, the API and webhooks. The modules and limits available to the Customer depend on the plan purchased, as described on the pricing page.
2. Nature of the Service and responsibility of the Customer
2.1 The Service is an information tool. It does not provide legal, compliance, tax, investment or other professional advice, and it does not make decisions on behalf of the Customer.
2.2 A match produced by Screening is a possible match based on names and other data, not a confirmation that a person or company is subject to sanctions or other measures. The Customer must verify each match on the official source before taking any decision.
2.3 Decisions and legal obligations remain with the Customer, including obligations on sanctions, anti money laundering, know your customer, supplier due diligence, public procurement and regulatory compliance. The use of the Service does not by itself make the Customer compliant with any law.
2.4 Sources may contain errors, be incomplete or be updated with delays. Automatic summaries and translations may contain inaccuracies; the original text of the source prevails.
3. Account, users and access
3.1 The Customer registers with a work email. Access is through single-use links sent by email; there are no passwords. The Customer is responsible for the security of the email accounts of its users.
3.2 Admin users of the Customer can invite other users, assign the admin or member role, create and revoke API keys, manage billing and delete the account. The Customer is responsible for the actions of its users and for keeping API keys confidential.
3.3 The Customer must provide accurate company and billing information, including its tax identification number where required.
4. Plans, prices and payment
4.1 Prices are published on the pricing page in US dollars, excluding taxes where applicable. The annual price equals ten monthly payments.
4.2 Card payments are processed by Stripe. Monthly plans are paid by card only. Subscriptions renew automatically at the end of each period until cancelled, and the Customer may cancel at any time. Stripe issues an invoice for each payment.
4.3 Bank transfer is available only for annual plans, paid in advance. The plan is activated when the transfer, with the payment reference, is received. A bank transfer plan does not renew automatically.
4.4 A 14-day trial is available once per Customer. During the trial we may limit the number of dossiers. If the Customer does not cancel before the end of the trial, the subscription starts and the first payment is charged.
4.5 Single dossiers are paid once, may also be purchased beyond the monthly quota of a plan and can be used within 12 months of purchase.
4.6 Limits included in each plan (number of names, dossiers per month, countries or areas, competitors, sectors, search profiles) are applied automatically. Unused dossiers do not carry over to the following month.
4.7 We may change prices with at least 30 days notice by email to the admin users. The new price applies from the next renewal.
4.8 If a card payment fails, the Service remains available for 7 days, after which it may be suspended until payment.
5. Cancellation and refunds
5.1 An admin can cancel the subscription at any time from the billing portal. The Service remains active until the end of the period already paid. There are no cancellation fees.
5.2 Amounts already paid are not refunded, except where required by law.
6. Acceptable use
6.1 The Customer will use the Service only for its lawful business purposes and in compliance with applicable law, including data protection law.
6.2 The Customer will not: use the Service to make decisions about individuals without appropriate human review where the law requires it; upload data that it has no right to process; resell or redistribute the Service or its content as a standalone product; attempt to access other customers' data; overload, scan or interfere with the Service; or circumvent the limits of the plan.
6.3 We may suspend access in case of a serious breach of this section, with notice to the admin users where possible.
7. Customer data
7.1 The Customer keeps all rights to the data it uploads, such as lists of names, monitoring profiles and notes ("Customer Data"). We use Customer Data only to provide the Service.
7.2 When Customer Data contains personal data, we act as processor under the Data Processing Agreement, which forms part of these Terms.
7.3 We do not use Customer Data to train artificial intelligence models.
8. Content of the Service
8.1 Information from third party sources remains subject to the rights and terms of those sources. Reports, dossiers, briefings and other outputs of the Service ("Outputs") may be used by the Customer for its internal business purposes, including sharing with its advisers, auditors and authorities.
8.2 The software, design, databases and trademarks of the Service belong to Unicorn Private or its licensors.
9. Availability and support
9.1 We aim to keep the Service available at all times but do not guarantee uninterrupted availability. The status of the Service and of its sources is published on intel.unicornprivate.com/status.
9.2 Support is provided by email only, at mail@unicorn-club.com.
10. Confidentiality
Each party will keep confidential the non public information received from the other party and will use it only for the purposes of these Terms, except where disclosure is required by law.
11. Warranties and disclaimer
11.1 We will provide the Service with reasonable care and skill.
11.2 Except as stated in these Terms and to the extent permitted by law, the Service is provided "as is", without warranties of accuracy, completeness, fitness for a particular purpose or non infringement.
11.3 Information is provided for informational purposes only, as is, based on public sources as of the date shown. Unicorn Private LLC assumes no legal responsibility for the accuracy, completeness or timeliness of the information.
12. Limitation of liability
12.1 To the extent permitted by law, neither party is liable for indirect, consequential or special damages, loss of profit, loss of business or loss of data.
12.2 To the extent permitted by law, the total liability of Unicorn Private under these Terms is limited to the amounts paid by the Customer for the Service in the 12 months before the event giving rise to the claim.
12.3 Nothing in these Terms limits liability that cannot be limited by law.
13. Term, termination and deletion
13.1 These Terms apply from acceptance until the end of the last paid period.
13.2 Either party may terminate in case of a material breach not remedied within 30 days of notice.
13.3 After the end of the subscription, Customer Data is deleted within 30 days, except invoices and records that must be kept by law. Before the end, admins can export names, matches, audit log and dossiers from the dashboard or the API.
14. Changes to these Terms
We may update these Terms. Material changes are notified by email to admin users at least 30 days before they take effect. Continued use after that date means acceptance.
15. Governing law and venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules. The courts of the State of Delaware have exclusive jurisdiction, unless mandatory law provides otherwise.
16. General
16.1 If a provision is invalid, the rest of the Terms remain in force.
16.2 The Customer may not assign these Terms without our consent. We may assign them to an affiliate or a successor.
16.3 Translations are provided for convenience; the English version prevails.
16.4 Notices to the Customer are sent by email to its admin users. Notices to Unicorn Private are sent to mail@unicorn-club.com.
Accepted online at subscription. The English version prevails in case of differences between languages.
